Terms of Service

These Terms of Service ("Terms") are an agreement between you and Binfinite LLC ("Binfinite", "we", "us") and govern your use of the Binfinite mobile applications, websites, and related services (collectively, the "Service") — a marketplace for buying and selling comic books. By creating an account, making a purchase, or otherwise using the Service you agree to these Terms and to our Privacy Policy.
Eligibility
You must be at least 18 years old and able to form a binding contract to use Binfinite. The Service is currently offered only in the United States; you may not use the Service from other regions.
Our role
Binfinite is a marketplace venue. Sellers — not Binfinite — list, price, describe, and ship the items sold through the Service, and the contract of sale for any item is between the buyer and the seller. Binfinite does not take possession of items, does not authenticate or grade items, and does not guarantee the quality, safety, legality, or accuracy of any listing, though we may remove listings or restrict accounts that violate these Terms.
Accounts
- You can create an account with Apple Pay / Google Pay at checkout or by signing in with Apple, Google, or Facebook. You are responsible for the accuracy of your account information (including your shipping address) and for all activity under your account.
- You may delete your account at any time in the app (Settings → Privacy & Data). See the Privacy Policy for what is deleted and what is retained for legal and counterparty obligations.
Payments
- Payments are processed by Stripe. By purchasing or selling you also agree to the applicable Stripe terms, including the Stripe Connected Account Agreement for sellers. Binfinite never stores full card numbers.
- The price shown is the price. Binfinite does not run auctions and does not display buyer-side valuations. Binfinite's platform fee is paid by the buyer, not by the seller: buyers pay a service fee of the greater of 8% of the items subtotal or $1.00, charged once per checkout, excluding shipping. Sellers keep 100% of their item price (and 100% of the shipping they charge).
- Items you add to your Stack are purchased in a single checkout, even when they come from more than one seller. Your payment method is charged once for the whole Stack, and each seller ships their own items to you separately. Each item is sold at the price marked on it; there is no timed window and no bidding.
- Binfinite collects and remits sales tax as a marketplace facilitator. Sales tax is calculated and added at checkout where the buyer's state requires it, and is shown before you confirm the purchase.
Selling
- Sellers must accurately describe their items (including condition and defects), own the items they list, and ship sold items promptly with their own postage and adequate protective packaging. Tracking is strongly encouraged.
- Payouts are made to the bank account connected through Stripe, subject to Stripe's identity-verification (KYC) requirements and payout schedule.
- Sellers are responsible for any taxes arising from their sales.
Shipping
Shipping is seller-managed: sellers purchase their own postage and mark orders shipped in the app. The buyer's shipping address is shared with the seller solely for fulfillment.
Disputes and refunds
If an order does not arrive, or arrives materially not as described, the buyer may open a dispute in the app within the window shown on the order. We review disputes in good faith and may issue full or partial refunds to the original payment method, reverse seller payouts for refunded amounts, and take action against accounts with repeated problems. Our dispute decisions are final to the extent permitted by law; nothing in this section limits any non-waivable consumer rights or your rights against the seller.
Refund windows
Specific windows govern refunds on the Service. These windows supplement, and do not limit, any non-waivable consumer rights you have under applicable law:
- Item not received. If an order shows no delivery after the carrier's expected delivery window, Binfinite may automatically refund the buyer to the original payment method seven (7) days after the expected delivery date.
- Materially not as described. A buyer may open a not-as-described dispute within [NOT-AS-DESCRIBED WINDOW — TBD by counsel] of the delivery date shown on the order.
- Review and resolution. Once a dispute is opened, we aim to review it and issue any approved refund within [DISPUTE-REVIEW WINDOW — TBD by counsel]. Approved refunds are returned to the original payment method, and the buyer service fee is refunded proportionally to the refunded items.

Reviews and content
You may post content such as listings, photos, and reviews. You retain ownership of your content and grant Binfinite a non-exclusive, worldwide, royalty-free license to host, display, and distribute it for the purpose of operating and promoting the Service. Reviews must reflect a genuine transaction and must not be false, defamatory, or abusive.
Prohibited conduct
You agree not to:
- list counterfeit, stolen, or otherwise unlawful goods;
- engage in fraud, shill activity, or fee circumvention (including completing Binfinite-originated sales off-platform to avoid fees);
- harass, threaten, or defame other users;
- scrape, reverse engineer, or interfere with the Service or its security mechanisms;
- use the Service while under 18 or outside the United States.
Suspension and termination
We may suspend or terminate accounts, remove listings, or withhold payouts where reasonably necessary to address fraud, legal risk, or violations of these Terms. You may stop using the Service and delete your account at any time.
Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
Limitation of liability
To the maximum extent permitted by law, Binfinite's total liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amounts you paid to Binfinite in fees in the twelve months before the claim and (b) one hundred US dollars (US$100). Binfinite is not liable for indirect, incidental, special, consequential, or punitive damages, or for the acts or omissions of buyers or sellers. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnification
You will indemnify and hold Binfinite harmless from claims arising out of your listings, your transactions with other users, your content, or your violation of these Terms or applicable law.
Governing law
These Terms are governed by the laws of the State of [GOVERNING-LAW STATE — TBD by counsel] — the U.S. state in which Binfinite LLC is organized — without regard to conflict-of-laws rules. Subject to the binding-arbitration section below, you and Binfinite agree to the exclusive jurisdiction of the state and federal courts located in that state, except where the law of your place of residence grants you non-waivable rights or venue. Before filing any claim, you agree to first contact us and attempt to resolve the issue informally.
Binding arbitration
Please read this section carefully — it affects how disputes between you and Binfinite are resolved. Except for the matters carved out below, you and Binfinite agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be settled by final and binding arbitration on an individual basis, rather than in court. The arbitration will be administered by [ARBITRATION ADMINISTRATOR — AAA / JAMS, TBD by counsel] under its then-current rules, and will take place in [ARBITRATION VENUE — TBD by counsel] or by video or telephone where those rules allow. The arbitrator has exclusive authority to resolve any dispute about the interpretation, applicability, or enforceability of this section.
Carve-outs. This section does not require arbitration of qualifying small-claims-court matters, or of either party's request for injunctive relief to protect intellectual property or the security of the Service. Opt-out: you may decline this arbitration agreement by emailing support@binfinite.io within [OPT-OUT WINDOW — TBD by counsel] of first accepting these Terms. Nothing in this section waives any non-waivable rights you have under applicable law.
Class-action waiver
You and Binfinite agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court, while all remaining claims stay in arbitration. This waiver does not apply to the extent it is prohibited by applicable law.
Changes
We may update these Terms from time to time. If a change is material we will give notice in the app or by email before it takes effect. Continued use of Binfinite after changes take effect constitutes acceptance of the revised Terms.
